Terms of Service

Article 1

Acceptance

By subscribing to ToolAcces or using any part of the service, you agree to these Terms of Service (the "Terms"). If you don't agree, don't use the service.

If you subscribe on behalf of a company, you confirm you have authority to bind that company.

Article 2

The service

ToolAcces provides bundled access to a curated selection of third-party AI and creative tools through a single subscription. Access is delivered through our platform and authentication layer.

ToolAcces acts as an aggregator and reseller of access. The list of included tools may change over time: new tools may be added and others removed, notably if a third-party provider changes or discontinues its service.

Article 3

Your account

You must provide accurate information and keep your credentials confidential. You are responsible for all activity under your account.

Your subscription is personal and for your own use. It is not meant to be resold, lent or shared with others. Sharing access between multiple users violates these Terms.

Report any unauthorized access to contact@toolacces.com immediately.

Article 4

Subscription & billing

Subscriptions are billed in advance through our payment provider (Stripe). Monthly plans renew every month, annual plans every twelve months, on the same calendar day you subscribed.

Pricing appears in US dollars (or euros depending on the site version), before applicable taxes. You authorize ToolAcces to charge your payment method for each renewal until you cancel.

Article 5

Refunds & cancellation

ToolAcces is operated by a U.S. company (Ascension Digital LLC). Because the service gives immediate access to digital content, performance begins as soon as you subscribe.

Eligibility is verified manually against our activity logs before any refund is processed. To request a refund, contact us at contact@toolacces.com within your current billing period.

Bad-faith disputes

Any user who initiates a chargeback or payment dispute, or who threatens to file a complaint or public denouncement, in order to obtain a refund they are not eligible for under this section, acts in bad faith and in breach of these Terms. In such cases, Ascension Digital LLC reserves the right to contest the claim using its activity logs, to bring legal action to recover the wrongfully reversed amounts and related fees, and to suspend or terminate the account without refund.

Article 6

Cancellation by the user

You can cancel at any time from your account dashboard, in one click, with no reason or exit fees. Cancellation takes effect at the end of the current billing period: you keep access until then, and the subscription does not renew.

Article 7

Acceptable use

You may not:

• resell access or share credentials beyond your plan;
• use the platform for any illegal purpose;
• reverse-engineer or bypass the authentication system;
• misuse credits or abuse the service.

Violations result in account suspension without refund.

Article 8

Tools & third parties

The tools accessible through ToolAcces are operated by their respective owners (e.g. OpenAI, Anthropic, Canva, ElevenLabs, HeyGen and others). Each tool's own terms of service apply when you use it.

Individual tool availability cannot be guaranteed. ToolAcces acts as an aggregator and reseller of access and is not liable for interruptions, changes or removals decided by third-party providers.

Article 9

Intellectual property

The ToolAcces brand, website, content and software remain the property of Ascension Digital LLC. You receive a limited, non-exclusive, non-transferable licence to use the service for as long as your subscription is active.

Content you create using the tools belongs to you, subject to each tool's own licensing terms.

Article 10

Disclaimer of warranties

The service is provided "as is" and "as available". To the maximum extent permitted by law, ToolAcces disclaims all implied warranties of merchantability, fitness for a particular purpose, non-infringement and uninterrupted availability.

Article 11

Limitation of liability

ToolAcces's total liability for any claim arising from these Terms or the service is capped at the amount you paid in the twelve months preceding the claim. We exclude liability for indirect, consequential or punitive damages.

Article 12

Changes to these terms

ToolAcces may update these Terms from time to time. Updates are reflected in the "Last updated" date above; material changes trigger an email notification. Continued use of the service constitutes acceptance of the revised Terms.

Article 13

Governing law

ToolAcces is operated by Ascension Digital LLC, a U.S. limited liability company. These Terms are governed by the laws of the United States and of the state in which Ascension Digital LLC is organized in the State of New Mexico, United States, without regard to conflict-of-law principles.

Any dispute relating to these Terms or the service that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the competent courts of that state, and you consent to that jurisdiction.
